Terms and conditions of sale - Professionals

Preamble

These terms and conditions of sale for professional customers are entered into between:

On the one hand, the company BOUDET S.A.S., a simplified joint-stock company with share capital of 76 225 €, whose registered office is at 2 route de Guenroc, 22350 Caulnes, registered in the Saint-Malo Trade and Companies Register under number 379 128 143 00011, operating the website www.c-creation.fr (hereinafter the ‘Website’), hereinafter referred to as ‘BOUDET S.A.S.’ or the ‘Seller’,

And on the other hand, any legal or natural person acting for the purposes of their professional activity (commercial, craft, professional services or industrial) and making a purchase through the Website, hereinafter referred to as the ‘Buyer’ or the ‘Professional Customer’.

These Terms and Conditions are reserved for professionals holding a valid SIRET or SIREN number (for professionals established in mainland France), or a valid intra-Community VAT number (for professionals established in another Member State of the European Union).

Article 1 – Purpose

These terms and conditions of sale (hereinafter the ‘Terms and Conditions’) define the rights and obligations of the parties in connection with the online sale of lighting and related products offered by BOUDET S.A.S. to professionals through the Website.

Placing an order implies the Buyer's unconditional acceptance of these Terms and Conditions, which the Buyer acknowledges having read before placing the order. These Terms and Conditions prevail over any general purchasing terms of the Customer, unless otherwise agreed in writing in advance between the parties.

Article 2 – Scope and Distribution Channels

2.1 Scope of These Terms and Conditions

These Terms and Conditions govern only direct sales made:

  • on the Website www.c-creation.fr ;
  • directly through the sales department of BOUDET S.A.S. (email, telephone) or in the showroom, for sales not covered by a specific commercial agreement.

2.2 Sales Through Third-Party Platforms (Marketplaces)

Orders placed through third-party platforms are not governed by these Terms and Conditions but by the terms and conditions of sale specific to each platform.

Professional Marketplaces (B2B)

BOUDET S.A.S. distributes its products to professional resellers through platforms dedicated to business-to-business trade, including:

  • Faire (ccreationfr.faire.com) for independent resellers in France and Europe;
  • Ankorstore for independent resellers in France and Europe.

BOUDET S.A.S. reserves the right to join other B2B platforms in the future (such as Metro or equivalent platforms).

Orders placed on these professional platforms are governed exclusively by the terms and conditions of the relevant platform (prices, minimum orders, discounts, payment, delivery, returns).

Consumer Marketplaces (B2C)

BOUDET S.A.S. also distributes its products through consumer marketplaces aimed at the end consumer, including:

  • La Redoute ;
  • Maisons du Monde (France and Spain);
  • Leroy Merlin (France and Spain).

This list is not exhaustive. BOUDET S.A.S. reserves the right to distribute its products through other partner platforms in France and internationally.

Although professionals may occasionally place orders on these consumer platforms, sales there are governed by each platform's own B2C terms and conditions and do not provide access to the professional prices or tiered discounts set out in these Terms and Conditions. Professionals wishing to benefit from the professional terms offered by BOUDET S.A.S. must create a professional account directly on the Website (see Article 3).

BOUDET S.A.S. cannot be held liable for the performance of contractual obligations falling within the remit of these third-party platforms, whether B2B or B2C (payment, delivery, customer service, returns, commercial guarantees specific to the platform).

2.3 Sales to Large DIY Retailers (GSB)

Large DIY retail chains (Bricomarché, Leroy Merlin, Mr Bricolage, Brico Leclerc, Weldom and other equivalent chains) are subject to individual and confidential commercial agreements negotiated on a case-by-case basis with our dedicated sales team.

The commercial terms, prices, discounts, payment terms, delivery times and services applicable to GSB are defined exclusively in these individual agreements and cannot be claimed by any other type of professional. These Terms and Conditions do not apply to commercial relationships with GSB.

2.4 Professional Categories and Differentiated Treatment

In accordance with Articles L441-1 et seq. of the French Commercial Code, BOUDET S.A.S. establishes differentiated pricing terms based on objective categories of professional buyers. The following are considered ‘professionals’ for the purposes of these Terms and Conditions:

  • Specifiers: interior architects, interior designers, decorators, electricians, architectural practices or any professional specifying our products for third-party projects. They benefit from the discount tiers defined in Article 5;
  • Establishments: hotels, restaurants, cafés, holiday cottages, bed and breakfasts, short-term rentals (Airbnb…), offices, coworking spaces or any establishment open to the public or used for professional purposes. They benefit from the discount tiers defined in Article 5;
  • Independent resellers: concept stores, home décor shops and online shops wishing to resell our products. Shops in mainland France may order directly after their activity has been approved (Article 2.5), or through Faire and Ankorstore. For shops outside mainland France, orders are currently placed through Faire or Ankorstore (Article 2.2);
  • Large DIY retailers (GSB): governed by individual commercial agreements (see Article 2.3).

The discount tiers described in Article 5 apply exclusively to Specifiers and Establishments holding a professional account approved by BOUDET S.A.S. and operating in mainland France or another Member State of the European Union. All customers in the same category receive equivalent pricing treatment, it being specified that the calculation methods may differ between France and the European Union due to the VAT reverse charge scheme described in Article 10.

In accordance with Article L441-1 of the French Commercial Code, BOUDET S.A.S. reserves the right to communicate these Terms and Conditions only to professional buyers in the Specifier, Establishment and Independent Reseller categories.

2.5 - Direct Orders from Shops

Shops in mainland France may order on the Website after their reseller account has been approved, or by email to contact@c-creation.fr after their activity has been approved. Reseller prices are accessible only after this approval; they are separate from the discount tiers for specifiers and establishments described in Article 5.

Payment is made when the order is placed. For direct orders from shops delivered in mainland France, the free delivery threshold is 350 € excluding VAT (420 € including VAT) of goods after discounts. Below this amount, delivery charges are 20 € excluding VAT (24 € including VAT). Orders placed on Faire or Ankorstore remain subject to the terms of the relevant platform. Outside mainland France, shops currently order through Faire or Ankorstore.

Article 3 – Creating and Approving a Professional Account

3.1 - Registration Request

Access to professional prices and automatic discounts is subject to creating a professional account on the Website using the dedicated form (Specifiers or Establishments). Shops

When creating an account, the Buyer undertakes to provide accurate, complete and up-to-date information, including:

  • First name and surname of the main contact;
  • Registered company name or trading name;
  • Valid SIRET or SIREN number (for professionals established in France) or valid intra-Community VAT number (for professionals established in another Member State of the European Union);
  • Type of activity (specifier, establishment or shop profile);
  • Business contact details (address, email, telephone).

Submitting the form does not under any circumstances constitute automatic acceptance of the registration request or the immediate granting of professional status. It is simply a request subject to approval by BOUDET S.A.S.

3.2 - Verification and Approval

BOUDET S.A.S. verifies the information submitted, in particular against official public registers (trade register, INSEE, VIES) and/or by any means it considers appropriate (telephone call, request for additional supporting documents such as a Kbis extract, professional card, proof of activity, etc.).

Where applicable, the account is approved within an indicative period of 48 working hours after receipt of the request. This period is indicative and does not constitute a firm commitment by BOUDET S.A.S.

Automatic professional discounts are activated only after explicit approval of the account by BOUDET S.A.S. Until the account is approved, no professional discount applies, and any orders placed are invoiced at the standard public price.

3.3 - BOUDET S.A.S.'s Right to Refuse

BOUDET S.A.S. reserves the discretionary right, without having to justify its decision, to refuse any application to the professional programme, particularly in the following cases:

  • Incorrect, incomplete or unverifiable information submitted;
  • Declared professional activity not matching the profiles accepted under Article 2;
  • Professional activity carried out outside the European Union;
  • History of unpaid invoices, disputes or conduct contrary to these Terms and Conditions with BOUDET S.A.S. or its partners;
  • Suspected misuse of the professional programme (unauthorised resale, personal use disguised as professional use, etc.);
  • Activity directly competing with BOUDET S.A.S. or its distribution partners;
  • Any other legitimate reason relating to the protection of BOUDET S.A.S.'s commercial interests.

The Buyer is notified of the refusal of registration by email, without BOUDET S.A.S. being required to provide a detailed explanation. This decision cannot give rise to any compensation.

3.4 - Suspension or Termination of the Account

BOUDET S.A.S. reserves the right, at any time and without notice, to unilaterally suspend or terminate an approved professional account in the following cases:

  • Subsequent discovery of incorrect or outdated information;
  • Cessation or change of the Customer's activity such that it no longer matches the accepted profiles;
  • The Customer relocates outside the European Union;
  • Breach of the obligations under these Terms and Conditions (repeated late payments, abusive conduct, unauthorised resale, etc.);
  • Judicial liquidation or cessation of activity of the customer company;
  • Account inactivity for more than 24 consecutive months.

In the event of suspension or termination, the Customer reverts to standard customer status and any orders in progress may, at the discretion of BOUDET S.A.S., be invoiced at the standard public price.

3.5 - Enforceability and Acceptance of the Terms and Conditions

The Buyer acknowledges having read these Terms and Conditions before placing any order. Acceptance of the Terms and Conditions is evidenced by:

For shop orders placed by email, agreement to the order summary and the Terms and Conditions communicated before payment constitutes acceptance.

  • Ticking an explicit checkbox when creating the professional account;
  • Ticking an explicit checkbox when placing each order on the Website.

The Terms and Conditions applicable to each order are those in force and accepted at the time that order is confirmed. BOUDET S.A.S. reserves the right to amend these Terms and Conditions at any time. The new Terms and Conditions apply to orders placed from the date of their publication on the Website, without retroactive effect on orders already confirmed.

In the event of a dispute over the applicable version, BOUDET S.A.S. may provide evidence, by any means (timestamping, order archiving, connection logs), of the version accepted by the Buyer on the date of their order.

Article 4 – Products

The products offered for sale are presented in accordance with legal requirements and as accurately as possible. Slight differences in the rendering of colours or materials may occur depending on browsing software and display screens. Provided that these differences do not affect the essential characteristics or quality of the products, they cannot justify cancellation of the order or refusal of delivery.

The product pages specify the technical characteristics, dimensions, materials, fitting type and compatible light source. BOUDET S.A.S. cannot be held liable for a product's incompatibility with an existing installation where the technical characteristics have been correctly stated.

Article 5 – Prices and Professional Discounts

5.1 - Pricing Principle

The prices displayed on the Website are stated in euros, inclusive of all taxes, including the French VAT applicable on the date of the order and the WEEE environmental contribution where applicable. The tax regime applicable to Professional Customers established in another Member State of the European Union (exemption from French VAT under the reverse charge scheme) is specified in Article 10 of these Terms and Conditions.

Delivery charges are specified before the order is confirmed.

5.2 - Conditions for Granting Professional Discounts

Automatic professional discounts are granted exclusively to Buyers meeting all of the following conditions:

  1. Having submitted an application to the professional programme through the dedicated form on the Website;
  2. Having received explicit approval of their professional account from BOUDET S.A.S., in accordance with Article 3;
  3. Carrying out their professional activity in mainland France or another Member State of the European Union ;
  4. Placing an order for delivery in mainland France or another Member State of the European Union covered by our delivery service;
  5. Being logged in to their approved professional account at the time of the order.

Until all five conditions are met, no professional discount applies and orders are invoiced at the standard public price including VAT. It is the Buyer's responsibility to check, before confirming payment, that the discounts to which they believe they are entitled have been applied to the basket.

5.3 - Discount Tiers

BOUDET S.A.S. grants approved professional accounts automatic discounts, calculated on the total basket amount including VAT, excluding delivery charges, according to the following tiers:

These discounts apply automatically at checkout and do not require a promotional code.

For Professional Customers established in and receiving delivery in mainland France: the tiers above apply to the basket amount including VAT, excluding delivery charges. French VAT is recoverable depending on the Customer's tax status.

For Professional Customers established in and receiving delivery in another Member State of the European Union whose intra-Community VAT number has been validated by BOUDET S.A.S.: the supply is exempt from French VAT under Article 262 ter-I of the French General Tax Code, in accordance with the reverse charge scheme described in Article 10. The automatic discounts applicable to the basket are then calibrated to produce a net amount excluding tax equivalent to the net price obtained by a French Professional Customer in the same category after applying the tiers above. A breakdown of the calculation is available on request from contact@c-creation.fr.

5.4 - No Combination with Other Commercial Promotions

Tiered professional discounts cannot be combined with:

  • One-off commercial promotions (statutory sales, Black Friday, private sales, etc.);
  • Promotional codes intended for the general public (welcome codes, referral codes, influencer codes, etc.);
  • Temporary special offers on all or part of the catalogue;
  • Any other discount or pricing benefit offered on the Website.

Only the discount most favourable to the Customer applies automatically. BOUDET S.A.S. may, exceptionally and at its sole discretion, allow certain combinations as part of commercial promotions dedicated to professionals, subject to an express statement in the specific terms of the promotion concerned.

5.5 - Changes to Prices and Tiers

BOUDET S.A.S. reserves the right to change its prices, discount tiers and percentages at any time without notice. Changes apply to orders placed after their implementation. Orders already confirmed remain invoiced under the terms in force when they were recorded.

Article 6 – Orders

Orders are placed directly online on the Website after logging in to the approved professional account. The Buyer selects the desired products, confirms the basket, confirms delivery and billing details, chooses a payment method, accepts these Terms and Conditions and makes payment.

Approved shops may also send their orders by email to contact@c-creation.fr. The order summary, these Terms and Conditions and the payment arrangements are communicated to them before confirmation and payment.

An acknowledgement is sent by email as soon as payment is confirmed. The order becomes final upon this confirmation.

BOUDET S.A.S. reserves the right to cancel or refuse any order in the event of a dispute with the Customer concerning previous orders or doubt as to the validity of the information provided.

Article 7 – Payment Terms

Orders are paid in full at the time of ordering, using one of the following methods:

  • Payment card (Visa, Mastercard, American Express) through Shopify Payments;
  • Apple Pay, Google Pay, Shop Pay ;
  • PayPal ;
  • Payment in instalments at no extra cost (subject to eligibility and acceptance by the provider).

Payment by bank transfer may be accepted on request for orders of a significant amount, subject to prior agreement by BOUDET S.A.S. In that case, the order is prepared only once the transferred funds have actually been received.

First order: new professional customers pay for their first order in full at checkout, before dispatch.

Late Payment Penalties

In accordance with Articles L441-10 and L441-11 of the French Commercial Code, in the event of late payment, penalties apply automatically, without the need for prior formal notice, from the day after the due date shown on the invoice.

Late payment penalty rate: three times the statutory interest rate in force, namely 7.86 % in 2026 (to be updated in line with official publications). This rate applies to the outstanding amount including VAT until payment in full.

Fixed compensation for recovery costs: fixed compensation of 40 € per unpaid invoice is due automatically, in accordance with Article D441-5 of the French Commercial Code. Where the recovery costs incurred exceed this amount, BOUDET S.A.S. may request additional compensation upon providing supporting evidence.

Early Payment Discount

No discount is granted for early payment.

Termination Clause

If the Buyer has not paid the outstanding sums within 15 days following the application of late payment penalties, the sale shall be terminated automatically and may give rise to an award of damages in favour of BOUDET S.A.S.

Article 8 – Retention of Title Clause

BOUDET S.A.S. retains ownership of the goods sold until the price has been paid in full, including principal and ancillary charges. Accordingly, if the Buyer is subject to judicial reorganisation or liquidation proceedings, BOUDET S.A.S. reserves the right to reclaim, within those insolvency proceedings, the goods sold that remain unpaid.

However, risks (loss, theft, damage) transfer to the Buyer upon delivery.

Article 9 – Delivery

Products are dispatched to the address provided by the Buyer when ordering, in mainland France and in the other Member States of the European Union covered by our delivery service. The list of countries served and the associated delivery charges are available on the Website and specified before the order is confirmed.

For reseller shops, direct orders are restricted to deliveries in mainland France, under the delivery charges and free delivery threshold specified in Article 2.5. The European delivery terms described in this article concern eligible specifiers and establishments.

Carrier: deliveries are mainly handled by DPD (to the home or a collection point), and by other partner carriers for bulky parcels.

Delivery time: products in stock are dispatched within 2 to 5 working days. The timeframe stated when ordering is indicative and cannot constitute a firm commitment.

Any reasonable delay in delivery cannot give rise to an award of damages or cancellation of the order.

In the event of goods being missing, damaged or non-conforming during transport, the Buyer must record all necessary reservations with the carrier upon receipt and confirm them in writing to BOUDET S.A.S. within 3 working days by email to contact@c-creation.fr, with supporting photographs.

Article 10 – Intra-Community Orders (European Union Outside France) and Orders Outside the European Union

10.1 - Intra-Community Professional Prices

Professional Customers established in a Member State of the European Union other than France, whose professional account has been approved by BOUDET S.A.S. in accordance with Article 3, benefit from the professional pricing terms defined in Article 5.

In accordance with Article 5.3, the automatic discounts applicable to the basket are calibrated to produce a net amount excluding tax equivalent to the net price obtained by a French Professional Customer in the same category after applying the corresponding tiers, taking into account the exemption from French VAT described in Article 10.2 below.

10.2 - Intra-Community VAT Exemption (Reverse Charge)

In accordance with Article 262 ter-I of the French General Tax Code, supplies to a Professional Customer established in another Member State of the European Union are exempt from French VAT. VAT is payable by the Buyer in their country of establishment, under the rules and rates applicable there, under the reverse charge scheme (the ‘reverse charge’ mechanism provided for in Directive 2006/112/CE on the common system of VAT).

This exemption is conditional on:

  • The validity of the Buyer's intra-Community VAT number, checked through the European Commission's VIES (VAT Information Exchange System), both when approving the professional account and for each order;
  • Actual delivery in a Member State of the European Union other than France;
  • The Buyer providing, at the request of BOUDET S.A.S., any additional supporting document (extract from the local trade register, proof of activity, proof of delivery, etc.).

If the intra-Community VAT number is not valid at the time of invoicing, BOUDET S.A.S. reserves the right to apply French VAT at the rate in force.

Invoices issued for these orders bear the following mandatory information: the Seller's intra-Community VAT number, the Buyer's intra-Community VAT number, and the statement 'Autoliquidation – article 262 ter-I du CGI / Reverse charge'.

10.3 - Intra-Community Delivery Charges and Customs Duties

Delivery charges to other Member States of the European Union are calculated according to the destination country and basket amount. They are specified before the order is confirmed. No customs duties apply to intra-Community trade.

10.4 - Countries Outside the European Union

Orders destined for countries outside the European Union (Switzerland, United Kingdom, Norway, etc.) are not handled as standard on the Website and are always subject to a personalised quotation, including in particular an assessment of customs duties, import taxes and international transport costs, which remain the sole responsibility of the Buyer.

Article 11 – Exclusion of the Right of Withdrawal

In accordance with Article L221-3 of the French Consumer Code, the 14-day right of withdrawal provided for consumers does not apply to contracts entered into between professionals where the subject of the contract falls within the main activity of the professional Buyer and the number of employees employed by that Buyer is greater than or equal to five.

Professional Customers meeting the conditions of Article L221-3 (micro-entrepreneurs, very small businesses with fewer than 5 employees whose order does not fall within their main activity) retain the right of withdrawal under the arrangements applicable to consumers, as specified in our Terms and Conditions of Sale - Consumers.

Article 12 – Returns and Complaints

Any return request must first be notified by email to contact@c-creation.fr stating the order reference, the product or products concerned and the reason for the return.

No return will be accepted without prior agreement from BOUDET S.A.S. Returned products must be in their original packaging, new, complete and in perfect resale condition.

Products ordered specifically for a project, personalised products or special orders cannot be returned, except in the event of an established lack of conformity.

Article 13 – Statutory Guarantees

Products sold by BOUDET S.A.S. benefit from the statutory guarantee of conformity (Articles L.217-1 et seq. of the French Consumer Code where it applies to eligible Professional Customers) and the statutory guarantee against hidden defects (Articles 1641 to 1649 of the French Civil Code).

For any claim under the guarantees, contact customer service at contact@c-creation.fr or on 02 96 83 92 89, specifying the nature of the defect and providing photographs.

Article 14 – Liability and Force Majeure

BOUDET S.A.S.'s liability is strictly limited to the amount of the order concerned and cannot extend to any indirect loss (operating losses, loss of earnings, damage to reputation, etc.) suffered by the Buyer.

BOUDET S.A.S. cannot be held liable for non-performance of the contract in the event of force majeure within the meaning of Article 1218 of the French Civil Code (strike, pandemic, fire, flood, supply disruption, network disruption, etc.).

Article 15 – Intellectual Property

All visual, textual, graphic and audio elements of the Website are protected by copyright and remain the exclusive property of BOUDET S.A.S. Any reproduction, in whole or in part, without prior written authorisation is prohibited and constitutes infringement punishable under Articles L.335-2 et seq. of the French Intellectual Property Code.

Authorised Resellers may use the visuals provided by BOUDET S.A.S. strictly for the promotion and resale of its products, in accordance with the visual identity guidelines of the C-Création brand.

Article 16 – Personal Data

The data controller is BOUDET S.A.S. Data collected as part of the commercial relationship (contact identity, business contact details, order history) is necessary for managing the professional account, processing orders, invoicing and after-sales service.

Legal basis for processing: performance of the contract (Art. 6-1-b GDPR) and legitimate interest in managing the B2B commercial relationship.

Retention periods:

  • Customer data in the active database: for the duration of the commercial relationship;
  • B2B commercial prospecting: 3 years from the last contact initiated by the prospect, in accordance with CNIL recommendations;
  • Accounting and tax archiving: 10 years in accordance with Articles L123-22 of the French Commercial Code and L213-1 of the French Consumer Code.

The Buyer has rights of access, rectification, erasure, restriction, objection and portability, which may be exercised at contact@c-creation.fr. They may also lodge a complaint with the CNIL (www.cnil.fr).

Article 17 – Applicable Law and Jurisdiction

These Terms and Conditions and the sales they govern are subject to French law.

In the event of a dispute relating to the interpretation or performance of these terms, the parties shall endeavour to seek an amicable solution before taking any legal action.

Failing an amicable resolution, any dispute shall be brought before the Rennes Commercial Court, which is granted exclusive jurisdiction, even in the event of multiple defendants or third-party proceedings.
